Terms of Service

These terms govern the strux-labs.com website, your account, the beta program, subscriptions, and the online services around the StruxDraft suite. The desktop software itself is governed separately by its End User License Agreement (EULA), presented at installation. By using the website or services you agree to these terms.

01Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and [PLACEHOLDER: legal entity name], a [PLACEHOLDER: state of formation] limited liability company ("Strux Labs," "we," "us"). They govern your access to and use of the website at strux-labs.com, the account dashboard, downloads, the free Strux4D web viewer, and related online services (together, the "Services").

These Terms are supplemental to the EULA, which governs installation and use of the StruxDraft desktop software. If these Terms and the EULA conflict with respect to the desktop software, the EULA controls.

If you use the Services on behalf of an engineering firm or other organization, you represent that you have authority to bind that organization, and "you" includes it. If you do not agree to these Terms, do not use the Services.

02Accounts

To download the software, activate licenses, or manage a subscription you must create an account. You agree to:

  • provide accurate, current, and complete information when registering, and keep it updated;
  • keep your login credentials confidential — you are responsible for all activity under your account;
  • notify us promptly at info@strux-labs.com of any unauthorized use of your account.

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account.

03Beta program

StruxDraft is currently offered through an invite-only beta. Beta access is requested through the contact page and granted at our discretion; we may limit, pause, or revoke beta access at any time as the program requires.

DURING THE BETA, THE SOFTWARE AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PRE-RELEASE SOFTWARE MAY CONTAIN DEFECTS, FEATURES MAY CHANGE OR BE REMOVED, AND WE DO NOT WARRANT UNINTERRUPTED AVAILABILITY OF ANY BETA FEATURE OR SERVICE.

The verification obligation in section 06 applies fully during the beta — beta status does not reduce it; it heightens it.

Feedback

If you send us feedback, suggestions, bug reports, or ideas about the software or the Services, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you. Feedback is provided on a non-confidential basis. Nothing in this section gives us any rights to your project files or engineering work product.

04Desktop software & licensing

Installation and use of the StruxDraft desktop software (including StruxCalc) is governed by the EULA presented at installation — including its license grant, restrictions, warranty disclaimer, and dispute-resolution provisions.

Licenses activate per machine. A license may be active on up to two machines at a time; you can deactivate a machine from the account dashboard to free a slot before activating another. Circumventing, disabling, or interfering with license verification is prohibited under these Terms and the EULA.

The free Strux4D web viewer is provided read-only, without an account, for viewing models in the browser; it is part of the Services and covered by these Terms.

05Subscriptions, billing & refunds

Billing

Subscription fees are billed through Stripe in U.S. dollars on a recurring basis. By providing a payment method you authorize the applicable subscription charge each billing period. If a payment fails and is not cured, your subscription and software access may be suspended.

Automatic renewal

Subscriptions renew automatically at the end of each billing period, at the then-current rate, until canceled.

Cancellation

You may cancel at any time through the billing portal in your account dashboard. Cancellation takes effect at the end of the current billing period; you keep access until then. We do not issue pro-rated refunds for partial billing periods.

Refunds

Your initial purchase is refundable in full within 30 days of the first payment — email info@strux-labs.com from your account address. Renewal charges are not refundable; to avoid a renewal charge, cancel before the renewal date.

Price changes & taxes

We may change subscription pricing with at least 30 days' notice; changes take effect at your next renewal, and you may cancel before then if you do not agree. You are responsible for applicable sales taxes or similar charges, excluding taxes on our net income.

06Professional responsibility

This is the most important section of these Terms. Read it fully.

The software is a computational aid for qualified design professionals. It is not a substitute for independent professional engineering judgment, experience, or analysis.

All output — calculations, member designs, schedules, reports, and drawings — must be independently verified as correct and appropriate by a licensed professional engineer, or another appropriately qualified person, before being used for design, construction, or any other purpose. The engineer of record bears full responsibility for every design.

We have endeavored to correctly implement the principles of structural mechanics and the provisions of the referenced design standards (including NDS, AISC 360, ACI 318, TMS 402, SDPWS, ASCE 7, and the IBC). Given the complexity of structural engineering and the effectively unlimited combinations of loads, geometries, materials, and boundary conditions, errors may occur. You accept responsibility for verifying the accuracy and applicability of all output before relying on it.

The software lets you select specific editions of the referenced standards per project. We do not warrant that any edition satisfies the requirements of your jurisdiction, building authority, or project — determining the applicable codes and provisions is your responsibility.

Website content, including documentation and tutorials, is informational only and is not professional engineering advice.

07Acceptable use

You agree not to:

  • use the Services for any unlawful purpose or in violation of applicable law;
  • attempt to gain unauthorized access to any portion of the Services, other accounts, or related systems;
  • interfere with or disrupt the integrity or performance of the Services;
  • transmit viruses, malware, or other malicious code;
  • use automated scripts, bots, or scrapers against the Services;
  • impersonate any person or entity;
  • circumvent access controls, rate limits, license verification, or other security measures;
  • resell, sublicense, or provide access to the Services to third parties except as the EULA permits.

08Intellectual property

The Services and all of their content — text, graphics, logos, screen captures, sample models, documentation, and software — are the property of Strux Labs or its licensors and are protected by intellectual-property law. We grant you a limited permission to view and use the Services as intended; you may not reproduce, distribute, modify, or create derivative works from them without our prior written consent.

"Strux Labs," "StruxDraft," "StruxCalc," and "Strux4D," and the associated logos, are marks of Strux Labs. References to industry standards and their publishing bodies (NDS, AISC, ACI, TMS, SDPWS, ASCE, IBC) identify compatibility only and do not imply endorsement by those organizations.

Your project files and engineering work product remain yours. We claim no ownership of anything you create with the software.

09Third-party services

The Services rely on third-party providers: Supabase for authentication and the account database, Stripe for payment processing and the billing portal, FormSubmit for contact-form delivery, and Cloudflare for hosting and cookieless analytics. Your use of those services is subject to their respective terms and privacy policies, and we are not liable for their acts or omissions. How they handle data is described in our Privacy Policy.

The Services may link to third-party websites we do not control; we are not responsible for their content or practices.

10Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR DESIGN, CONSTRUCTION, OR ENGINEERING PURPOSE. SEE SECTION 06.

The desktop software carries the warranty terms stated in its EULA.

11Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRUX LABS OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR ANY DESIGN, CONSTRUCTION, OR ENGINEERING DECISIONS MADE IN RELIANCE ON OUTPUT OF THE SOFTWARE OR SERVICES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, UNDER ANY LEGAL THEORY, SHALL NOT EXCEED THE AMOUNTS YOU PAID TO STRUX LABS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. These limitations are a fundamental element of the basis of the bargain between you and Strux Labs.

12Indemnification

You agree to defend, indemnify, and hold harmless Strux Labs and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, any design or construction work performed using or informed by the software, or your violation of these Terms or applicable law.

13Termination

You may stop using the Services at any time and may close your account through the dashboard or by emailing info@strux-labs.com.

We may suspend or terminate your access to the Services for violation of these Terms or the EULA, non-payment, conduct we reasonably believe harms other users or third parties, or as required by law. Upon termination your right to access the Services ceases; project files stored locally on your machines are unaffected. Sections 06 and 10 through 14 survive termination.

14Governing law & disputes

These Terms are governed by the laws of [PLACEHOLDER: governing-law state], without regard to conflict-of-law principles.

Before initiating any formal proceeding, you and Strux Labs agree to attempt to resolve any dispute informally by written notice and good-faith negotiation for 30 days. Disputes relating to the desktop software are subject to the dispute-resolution provisions of the EULA, including any arbitration and class-action-waiver provisions stated there. Either party may bring an individual claim in small-claims court if it qualifies.

15Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email or a notice on the website at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance. If you do not agree to a change, your remedy is to cancel your subscription and stop using the Services.

If any provision of these Terms is held unenforceable, the remainder stays in effect. No failure to enforce a provision waives it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, the EULA, and the Privacy Policy are the entire agreement regarding the Services.
